Refund & Billing Policy

1. Purpose
Welcome to Cosdi, Inc. (“Cosdi,” “we,” “our,” or “us”). This Refund & Billing Policy outlines how we charge customers for the use of our services (“Services”), handle refunds, billing disputes, and other related matters. Terms not defined in this policy carry the meanings outlined in our Terms of Service.
2. Automatic Renewal
● Package Renewal: To prevent disruptions in our Services, all hosting plans and domain names are automatically renewed at the end of their initial term and any subsequent renewal terms. The renewal date for your Services will be provided during checkout for your initial purchase and will appear on your invoices in the “My Invoices” section of the Client Portal. You will also receive an email notification, including the duration and price, prior to any automatic renewal. To cancel a renewal, you must follow the instructions in Section 8(b)(i) of our Terms of Service.
● Domain Name Renewal: Domain names are set to automatically renew five (5) days before their expiration date. Automatic charges will occur on your saved payment method unless cancellation occurs at least two (2) days prior to the renewal date. If your payment method does not allow automatic charges, you must pay manually before the invoice due date, or your domain may lapse.

● Charges: Fees for renewed Services are due on the renewal date.
● Failure to Renew: Accounts with unpaid invoices over five (5) days past due will be suspended. To reactivate a suspended account, all overdue invoices must be paid in full. Accounts overdue for more than 5 days are considered abandoned and subject to termination, including the deletion of all associated data.>
3. Responsibility for Payment
You are responsible for all charges (“Fees”) incurred through your use of our Services.
Your first invoice will be generated upon purchasing our Services. Subsequent invoices, including renewal details, will be issued one (1) month before the renewal term begins, giving you sufficient time to make the payment.
All invoices will be available in your Client Portal under “My Invoices.” Fees must be paid via PayPal on the due date. PayPal is currently the only supported payment method.

Unpaid services, domains, or packages will be canceled after five (5) days.
Collections: In cases of unpaid balances, Cosdi may assign overdue accounts to a collection agency. You agree to reimburse us for all collection costs, including attorneys’ fees and legal expenses.
Price Adjustments: We may adjust pricing periodically to remain competitive, including adjustments due to currency fluctuations. Price changes will only apply to new invoices and will not retroactively modify already paid invoices. Renewal prices will be reflected on the emailed invoice. Cancel your subscription before the due date to avoid automatic renewal.

4. Money Back Guarantee
● Certain hosting plans carry a 7-day satisfaction guarantee. To receive a refund, you must cancel your Services via the Client Portal within 7 days from the Effective Date.
● Cancellations after 7 days are not eligible for refunds, and any refund issued will be at Cosdi’s sole discretion.
● Refund requests received after 14 days will only be processed via PayPal.
● Non-Refundable Fees:
 a. Third-party fees, such as domain registration, setup, license, SSL Certificates and migration fees.
 b. VPS, Dedicated Servers, and Co-Location services are non-refundable.
 c. Accounts terminated for violations of our policies are not eligible for refunds.

5. Refund Processing
All refund requests will be processed via PayPal within 14 days.

6. Service Credit Eligibility
Customers must be current on invoices to qualify for service credits.
Customers with three (3) or more late payments within the preceding 12 months are ineligible for service credits.
Certain automatic systems may limit or suspend Services to prevent malicious activity. Such suspensions will not be considered downtime and will not qualify for service credits.

7. Payment Methods and Currencies
We accept PayPal as the sole payment method. All pricing is calculated in USD. If you use a credit card through PayPal, your bank may charge additional processing fees. Please contact your bank for more information. Additionally, if you are not using USD for the transaction, the amount you pay may vary due to exchange rate fluctuations.

8. Account Upgrades, Downgrades, and Migrations
● Upgrades: Moving to a higher-priced plan includes free migration and waived data center transfer fees. Please submit a support ticket to notify us of your upgrade request. We will calculate the price difference and generate an invoice accordingly.
● Downgrades: Downgrades can only be requested after the current service term expires. Please notify us at least one week before the expiration date, and we will process the downgrade and issue a revised invoice.
● Migrations from Other Hosts:Free migrations require cPanel credentials, while migration fees may apply for non-cPanel accounts or requests exceeding 30GB; please contact us for details.

9. Billing Errors and Chargebacks
Any billing errors must be reported and claimed within 7 days.
If additional payment is required due to a billing error, it must be settled within 3 days to avoid service suspension. Overpaid amounts will be refunded via PayPal within 14 day.

10. VAT Tax
Residents of Canary Island (Las Palmas), Spain, are considered tax-exempt and will not be charged VAT.

11. Feedback
By providing feedback or suggestions, you consent to our unrestricted use of such feedback for improvements, without compensation or restrictions.

The Digital Millennium Copyright Act (DMCA) provides a procedure for requesting Online Service Providers to disable access to websites where copyrighted works are being used without permission. If you are a copyright owner or authorized to act on behalf of one, please follow these steps to submit a notice:

4. Prohibited Uses
The following activities and content are strictly prohibited on our network. This list is not exhaustive, and we reserve the right to determine, in our sole discretion, whether specific activities violate this AUP:
● Unsolicited Commercial Email (SPAM):
 a. Sending unsolicited bulk emails or spam is prohibited. You may not send email to more than five hundred (500) recipients without prior approval from our Support Team.
 b. Compliance with the CAN-SPAM Act is required, but compliance alone does not guarantee that email is acceptable under this AUP.
 c. Report suspected spam by sending relevant details to [email protected].
● Prohibited Content and Activities:
 a. Topsites, IRC bots/servers, or AutoSurf/PTC/PTS/PPC sites.
 b. IP scanners, brute-force programs, mail bombers, or spam scripts.
 c. Hosting file dumps, mirror sites, or bulk SMS gateways.
 d. Websites or links advocating violence, hate crimes, or illegal activities.
 e. Sale or dissemination of pornography, erotic material, or adult content.
 f. Lottery, gambling, chain letters, or fraudulent websites (e.g., HYIPs, Ponzi schemes).
 g. Content promoting human trafficking, prostitution, or escort services.
 h. Hosting, distributing, or linking to content that infringes on intellectual property rights, including unauthorized copyrighted material.
 i. Hosting, distributing, or linking to content that exploits or abuses children, including child sexual abuse material.
 j. Content promoting terrorism or violent extremism.
 k. Broadcasting or streaming copyrighted live sports or television events.
 l. Cryptocurrency/bitcoin mining activities.
 m. Distributing malicious software, hacking tools, viruses, worms, or Trojan horses.
 n. Attempting unauthorized access or use, including probing, scanning, or testing system/network vulnerabilities and bypassing authentication measures.
 o. Network abuse activities, such as bandwidth abuse, denial-of-service (DoS) attacks, or interference with other systems.
 p. Violating anti-spam policies, including sending unsolicited emails, bulk messaging, or spam.
 q. Engaging in fraudulent activities, such as impersonation, phishing, or deceiving individuals or organizations.
 r. Falsifying identity or contact information with the intent to mislead.
 s. Posting or sharing personal information (doxing) with the intent to harm individuals.
 t. Content promoting drugs, controlled substances, or tobacco products, including vaping and CBD-related materials.
 v. Engaging in network-unfriendly activities, such as bandwidth abuse, denial-of-service attacks, or attempts to interfere with system operations.
● Defamation:Websites hosted on our network must comply with U.S. laws. We do not remove allegedly defamatory content unless directed by a U.S. federal or state court order.
● Child Pornography:Cosdi enforces a zero-tolerance policy for child exploitation content. Accounts hosting or linking to such material will be immediately terminated without notice.

5. Use of Services
● IP Addresses: You may use only the IP addresses assigned to you by Cosdi. Use of unauthorized IP addresses may result in suspension of Services. All IP addresses remain the property of Cosdi and may be reassigned at our discretion.
● Software: Any software provided by Cosdi as part of the Services is sublicensed to you. Such software must be used strictly in accordance with licensing terms and may not be redistributed.

6. Network Stability and Monitoring
● Network Stability: Cosdi’s network is optimized to meet the needs of all customers. Activities that impair network stability may result in suspension or termination of Services.
● Monitoring: To comply with legal obligations and improve our Services, we may monitor your use of the network. Monitoring will adhere to our Privacy Policy. You agree that Cosdi is not a secure communications medium under the Electronic Communications Privacy Act.

3-1. Terms Specific to Domain Name Services
When you register a domain name through Cosdi, the request is processed via our registrar partner, opensrs (www.opensrs.com). By utilizing our domain registration services, you agree to adhere to eNom’s policies and procedures, which can be reviewed at https://opensrs.com/resources/documentation/#Contracts__amp__Agreements. Key details include:
● No Guarantee of Registration: While we strive to complete domain registrations, successful registration is not guaranteed. ● Renewal Responsibility: You are solely responsible for ensuring timely domain renewals. Although Cosdi attempts auto-renewals for domains, we are not liable for any failure to renew, expiration, or subsequent registration by a third party. ● Intellectual Property Compliance: You must ensure your domain name does not infringe on third-party intellectual property rights. Legal counsel is recommended before registering domains. ● ICANN Policies: You agree to abide by ICANN’s Transfer Policy and related rules, including a mandatory 60-day transfer lock after any registrant information changes. 3-2. Terms That Apply to All Hosting Services
Hosting accounts include bandwidth allocations based on your chosen package. Bandwidth usage does not roll over and must comply with package limits. Excessive bandwidth use may lead to additional charges, suspension, or termination at Cosdi’s discretion.
● IP Addresses: Assigned IP addresses are for use exclusively with Cosdi services. IPs may change as needed, and unused addresses are non-transferable.
● Resource Usage: Services must not impose excessive burdens on servers or customer support resources. Consistently high usage levels may result in throttling, suspension, or termination.

3-3. Terms for SZ VPS and Dedicated Server:
Customers bear full responsibility for software installations, maintenance, firewalls, security, and backups. Hosting providers are only responsible for maintaining the normal operation of network connectivity, server hardware, power, and control panel software.

3-4. Terms for Co-location:
● The service includes only the provision of power, network connectivity, and server racks. All other responsibilities, including but not limited to information management, server-related spare parts, system maintenance, and backups, are the sole responsibility of the customer.
● Access to the data center is strictly prohibited for customers. Any equipment or materials required to be brought into the facility must be handled by Cosdi's authorized personnel. Cosdi will also manage all installation and setup processes within the data center to ensure compliance with security and operational standards.

3-5.Additional Provisions Regarding the Services
● Backups and Data Loss:Your use of Cosdi's Services is at your own risk. Cosdi is not liable for any data loss, and you are solely responsible for creating and maintaining backups of your content. Although Cosdi may occasionally create backups during routine maintenance, the availability, completeness, and integrity of such backups are not guaranteed. Restoration requests from these backups are performed on a best-effort basis, and we cannot ensure successful recovery or data integrity during the process.
We strongly recommend that you establish routine backup procedures and regularly test the restoration of your data to ensure reliability. Managed backup services are available as an add-on and require a separate agreement. Please contact us for more details.
● Resource Usage:Cosdi reserves the right to suspend or restrict Services if an account excessively consumes system resources, degrading overall system performance. Customers will be notified of any temporary blocks or restrictions imposed due to resource overuse.
● Security:Security violations, including unauthorized server access, attempts to breach server integrity, or other hacking activities, are strictly prohibited. Such actions may lead to criminal and civil liabilities and the immediate termination of your account.
Cosdi reserves the right to report your information to system administrators or law enforcement agencies to address security breaches. Any violations of these security provisions may result in account termination under these TOS.
● Bandwidth Usage:Your monthly bandwidth allocation is defined by your selected service plan. If your usage exceeds the allotted bandwidth, Cosdi reserves the right to charge additional fees for overages.
● Publicity:You grant Cosdi a non-exclusive, royalty-free, worldwide license to use your name, trademark, and company logo (“Customer Marks”) in customer lists, marketing materials, and on our website to indicate your status as a customer. If you prefer to opt out, contact us at [email protected]. This provision does not limit Cosdi’s rights to use your Customer Marks as otherwise permitted under applicable law.

4. Use of Services
Your use of our Services must comply with all applicable laws, regulations, and our Policies. We do not guarantee uninterrupted Services, error-free transmissions, or the accuracy of any data processed through our Services. Violations of any Policies may result in the suspension or termination of Services.

5. Domain Registration
Domain registration requests are processed via third-party providers.
Cosdi does not guarantee the availability or successful registration of any domain name.
It is your responsibility to ensure timely renewal of your domain name. Failure to renew may result in expiration, and Cosdi assumes no liability for lapses or third-party registrations of expired domains.
By using our domain registration services, you agree to ICANN’s and the registrar’s applicable policies.

6. Account Information and Security
You are responsible for providing accurate account information during registration and maintaining the confidentiality of your account credentials. Any unauthorized access or misuse of your account is your responsibility. Cosdi is not liable for damages arising from unauthorized use of your account.
Account Transfer: If you transfer or delegate account ownership or access to another party, it is your sole responsibility to ensure the proper handover and security of the account. Cosdi will not be responsible for any disputes, losses, or damages arising from the transfer or delegation of account ownership or credentials.

7. Billing, Payments, and Refunds Billing terms are detailed in our Refund & Billing Policy.
Automatic Renewal: Services are automatically renewed at the end of the term unless canceled before the renewal date. You must submit cancellation requests in accordance with our Billing Policy.
Payment Methods: Payments are processed via PayPal. It is your responsibility to ensure timely payment to avoid interruptions or termination of Services.

8. Prohibited Content and Activities
The following content and activities are strictly prohibited(Our Acceptable Use Policy provides further details content restrictions, and prohibited activities.):
 a. Topsites, IRC bots/servers, or AutoSurf/PTC/PTS/PPC sites.
 b. IP scanners, brute-force programs, mail bombers, or spam scripts.
 c. Hosting file dumps, mirror sites, or bulk SMS gateways.
 d. Websites or links advocating violence, hate crimes, or illegal activities.
 e. Sale or dissemination of pornography, erotic material, or adult content.
 f. Lottery, gambling, chain letters, or fraudulent websites (e.g., HYIPs, Ponzi schemes).
 g. Content promoting human trafficking, prostitution, or escort services.
 h. Hosting, distributing, or linking to content that infringes on intellectual property rights, including unauthorized copyrighted material.
 i. Hosting, distributing, or linking to content that exploits or abuses children, including child sexual abuse material.
 j. Content promoting terrorism or violent extremism.
 k. Broadcasting or streaming copyrighted live sports or television events.
 l. Cryptocurrency/bitcoin mining activities.
 m. Distributing malicious software, hacking tools, viruses, worms, or Trojan horses.
 n. Attempting unauthorized access or use, including probing, scanning, or testing system/network vulnerabilities and bypassing authentication measures.
 o. Network abuse activities, such as bandwidth abuse, denial-of-service (DoS) attacks, or interference with other systems.
 p. Violating anti-spam policies, including sending unsolicited emails, bulk messaging, or spam.
 q. Engaging in fraudulent activities, such as impersonation, phishing, or deceiving individuals or organizations.
 r. Falsifying identity or contact information with the intent to mislead.
 s. Posting or sharing personal information (doxing) with the intent to harm individuals.
 t. Content promoting drugs, controlled substances, or tobacco products, including vaping and CBD-related materials.
 v. Engaging in network-unfriendly activities, such as bandwidth abuse, denial-of-service attacks, or attempts to interfere with system operations.

9. Backups and Data Loss
Cosdi provides complimentary backup services only for Web Hosting. However, Cosdi assumes no liability for data loss or corruption. It remains your responsibility to regularly back up your data.
For other Services (e.g., VPS, Dedicated Server, Co-location), customers are required to plan and manage their own data backups. Backup storage solutions may be purchased separately; please contact us to inquire about available options.

10. Termination
● Cosdi reserves the right to terminate your Subscription at its sole discretion, at any time, for any reason or no reason whatsoever ("Termination without Cause"). In such cases, Cosdi will provide you with a written notice at least thirty (30) days prior to discontinuing the Services. If Cosdi cancels your Subscription in accordance with any of the provisions outlined in these Terms, except in the case of Termination without Cause, no refunds will be issued for fees paid or prepaid in advance. You remain liable for all fees and charges incurred up to the effective date of such cancellation. In instances where Cosdi terminates the Agreement for cause, any prepaid fees will be forfeited and are non-refundable. The termination of your Subscription does not exempt you from the obligation to settle any outstanding fees or charges accrued before the termination date.
● In addition to its other termination rights outlined in these Terms, Cosdi may immediately terminate your Subscription under the following circumstances, based on its sole discretion:
a. If you or your end users breach the Acceptable Use Policy ("AUP") or Anti-Spam Policy.
b. If you or your end users infringe or violate the intellectual property rights, privacy, or publicity rights of any third party.
c. If you or your end users fail to comply with applicable laws, statutes, or regulations.
d. If you or your end users upload, publish, or distribute content, including but not limited to images, text, graphics, code, or video, which Cosdi deems illegal or high-risk; or
e. If you breach these Terms in any other manner. Cosdi does not undertake any obligation to monitor or review your Content (as defined in Section 12) or the content of your end users. You bear full responsibility for your Content and any liabilities arising from it.
● Upon termination of your Subscription, your access to the Services and any licenses to the associated Materials will immediately cease. Cosdi is not liable to you or any third party for the termination of Services in compliance with these Terms. Following termination, Cosdi may retain copies of your data files and records for archival purposes but is not obligated to do so. Additionally, Cosdi reserves the right to impose early termination charges for Services terminated prior to the end of the billing cycle.
● In the event of cancellation or termination of your Subscription by either party, you are solely responsible for arranging alternative service providers and ensuring the timely transfer of all electronic data, graphics, images, videos, or text to the new provider.
● Cosdi shall not bear any liability for the suspension or termination of your Subscription, including the deletion of Content. All provisions within these Terms that are intended to survive termination shall remain in full force and effect, including but not limited to ownership rights, warranty disclaimers, and limitations of liability.
If you wish to close your Account, you may do so using the features available within the Services or by contacting us via email at [email protected]. Upon receipt of your request, Cosdi will proceed to close your Account and provide email confirmation.

11. Termination of Services
Cosdi may suspend or terminate your Services under the following circumstances:
● Violation of these TOS or our Policies
● Failure to make timely payments
● Any activity that threatens the stability of our network
Upon termination, all data will be deleted, and Cosdi shall have no obligation to retain your content.

12. Limitation of Liability and Indemnification
You are solely responsible for the content, operation, and security of your online properties and/or business activities, as well as all other matters under your control. Cosdi is not liable for any damages arising from or related to the content, operation, security, or failure of your website, online properties, or business.
This limitation applies to all claims, regardless of the underlying cause of action, including but not limited to breach of contract, tort (including negligence), strict liability, fraud, and misrepresentation.
In no event shall Cosdi, its affiliates, contractors, service providers, employees, agents, licensors, or any parties involved in delivering the services, technology, or content ("Affiliates") be liable to you for:
● Any decision or action taken based on information provided through the services;
● Loss, inaccuracy, or corruption of data, or costs incurred in procuring substitute goods, services, or technology;
● Indirect, special, incidental, consequential, or punitive damages (including but not limited to loss of revenue, profit, reputation, business interruption, or similar damages), even if Cosdi has been advised of the possibility of such damages; or
● Your use of any third-party services.
The total aggregate liability of Cosdi and its Affiliates, regardless of the type of claim or form of action, is strictly limited to the total amount you have paid to Cosdi in the six (6) months preceding the event giving rise to the claim.
Additionally, you agree to indemnify and hold Cosdi harmless from any claims, damages, or losses resulting from your use of the services, including violations of these Terms of Service, third-party policies, or applicable laws. This indemnification extends to all liabilities incurred as a result of your actions or negligence while using the services provided by Cosdi.

13. No Warranties
You expressly agree that your use of the services is entirely at your own risk. The services are provided on an "as is" and "as available" basis, without any warranties of any kind, either express or implied. Cosdi explicitly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. Cosdi makes no guarantee that the services will meet your specific requirements, be uninterrupted, timely, secure, or error-free. Additionally, no assurance is provided regarding the accuracy or reliability of any information obtained through the services or that defects in software, hardware, or the services themselves will be corrected.
Statements in promotional materials about the services should be interpreted as general advertising and not as warranties. Any materials or data downloaded or otherwise obtained through the services are accessed at your own discretion and risk. You will be solely responsible for any damage to your systems or data loss resulting from such actions.
Cosdi does not guarantee or make warranties about any third-party goods or services obtained through the services, nor any transactions conducted via the services. Furthermore, no advice or information obtained by you, whether verbal or written, from Cosdi or its representatives shall create any form of warranty.
Unless explicitly agreed in writing, Cosdi does not include backup services for your sites as part of the offered services. You are strongly encouraged to establish and maintain your own backup routines for your sites to prevent data loss.
Cosdi is not liable for any failure to perform due to causes beyond its reasonable control. This includes but is not limited to natural disasters, acts of God, war, terrorism, public health emergencies, technical failures, labor strikes, or any events that impede performance while they persist.

14. Modifications to TOS
Cosdi reserves the right to modify these TOS at any time. Material changes will be communicated via email or on our website. Continued use of Services constitutes acceptance of the modified TOS.

15. Governing Law and Jurisdiction
